Two companies involved in the manufacture of high technology systems for prototyping and manufacturing applications decided to merge. One company was based in the United States and the other in Israel. Cordes & Company was retained to provide both parties with CFO-level financial assistance in this fast-track $1 billion transaction. We guided preparation of complex pro formas and other information in the SEC proxy statement to enable timely mailing for the shareholder vote. We coordinated phase one and phase two of the Ernst & Young valuations, working through complex valuation in intangibles including intellectual property research and development, developed technology, customer relations, trademarks and goodwill. We addressed other merger accounting considerations such as hedge accounting, deferred taxes with a foreign parent and complex stock-based compensation.
